LTD (“MEEKAAM”, “we” or “us”) located at ‘No. 330, Nanbian Road 38, Haizhu District, Guangzhou, China’ owns/ operates MEEKAAM through their website www.supplychain.vip (hereinafter referred to as ‘Application’). The Application provides its services to two different sets of users- (1) sellers from China that can advertise their business in the Application and win orders, and (2) buyers that can register on the Application to find sellers that best suit them. The seller on the Application can advertise their business and the buyer can find the best seller for them by means of search to find single seller or the buyers can post a Request for Quote (RFQ) requesting quotes from different sellers or the buyers have the option to request support from the Applications offline service team.

Our service and these terms and conditions are compliant with the Personal Information Protection Law of the People's Republic of China, and other relevant laws that regulate data protection in the People's Republic of China.

These terms and conditions outline the rules and regulations for the use of the Application. These terms and conditions are a binding agreement between the User of the Application and the Application and state the terms that govern Your use and access to the Service. Your access or use of the Application is subject to these terms and conditions and all applicable laws. By accessing and using the Application you accept these terms and conditions. Do not continue to use the Application if you do not agree to take all of the terms and conditions stated on this page. If, at any time, any part of the terms and conditions is no longer acceptable to you, immediately terminate your use of the Application.

WHO CAN USE OUR SERVICE

The services of the Application don’t have any age restrictions. Anyone who is trying to use the services provided by the Application should be a natural person according to the laws of the People's Republic of China.

The Application has the right to access the location of its users. It is important for the Application to take access to the location of its user to make sure that it is compliant with local laws. This Application is compliant with the laws of  China only. Therefore we are not liable for any miss conduct/loss/problem of any users of other regions who access our services using unfair means.

Anyone using this platform for information exchange or communication needs to ensure the security of their transactions after leaving the platform. Unless additional use of the platform's transaction guarantee service is provided with extra payment and apply the agreement accordingly, the platform does not provide guarantee liability for users' actual product transactions, only guarantees relevant confirmation and security management responsibility for platform information.

The Application has the right to terminate your account, wherein the User is found to be defaulting on this condition, or where we find that you are barred in law from access to our Services.

HOW TO USE OUR SERVICE

To use our Service as a buyer, you simply need to open our Application on your device (mobile phone or computer or iPad, etc). You will not have the option to choose any regional language. The Application will run in English language only.

To use our Service as a seller, you simply need to open our Application on your device (mobile phone or computer or Ipda, etc). You will have the option to choose between English and Chinese in which you want to run the Services.

As you open our application you are required to register using an active mobile number and email ID. We will then verify you using a One-Time-Password (OTP) sent by us via SMS and email to your device. In order to identify if the user registering for the Application is a serious business person from a company we will collect related business or company information. We will collect the user name, mobile phone number, email address, address of the business, business name, business URL, business profile, and title of the contact person.

As you log in to our Application we would collect information regarding your device, configuration, internet bandwidth, location, and IP address. The information being collected might increase or decrease from time to time and would be updated and notified to you through our terms and conditions.

USER SUBMISSIONS

You must be a legal person according to the local laws to participate in any activity conducted by the Application to their members. We do not claim ownership of any information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials you submit for display or distribution to others through the Application, including any such materials that you submit through Interactive Areas (collectively, "User Submissions"). As between you and us, you own all rights to your User Submissions. However, you grant (and confirm and promise to us that you have the right to grant) to us and our affiliates, representatives, and sublicensees and assign an irrevocable, perpetual, non-exclusive, sub-licensable, royalty-free and fully-paid, license (sublicensable through multiple tiers) throughout the universe to use, distribute, syndicate, license, reproduce, modify, adapt, publish, translate, publicly perform, create derivate works and publicly display your User Submissions (in whole or in part) in any format or medium now known or later developed; provided, however, that the exercise of our rights under the foregoing license shall at all times be subject to the limitations upon disclosure of your User Submissions imposed on us under our Privacy Notice. You hereby irrevocably waive (and agree to cause to be waived) any claims and assertions of moral rights or attributions with respect to your User Submissions. We reserve the right to display advertisements in connection with User Submissions and to use User Submissions for advertising and promotional purposes without any compensation to you. These advertisements may be targeted at the content or information stored on the Services. In consideration for us granting you access and use of the Services, you agree that we may place such advertisements throughout our Services. We do not pre-screen all User Submissions, and you agree that you are solely responsible for all of your User Submissions. By participating in any of the aforementioned activities, all visitors and members agree to follow the Applications, standards of conduct. Postings to public areas may or may not be reviewed by the Application prior to appearing on the Application. Nonetheless, the Application reserve the right to change, delete or remove, in part or in full, any postings in Interactive Areas and to terminate or suspend access to such areas for conduct that we believe, in our sole discretion, interferes with other peoples’ enjoyment of our Application. The Application will also cooperate with local, state, and/or federal authorities to comply with applicable law.

We are not required to backup, host, display, or distribute any User Submissions, and may remove at any time or refuse any User Submissions. We are not responsible for any loss, theft, or damage of any kind to any User Submissions. You represent and warrant that your User Submissions and our authorized use of such submissions do not and will not infringe the rights of any third party (including, without limitation, intellectual property rights, rights of privacy or publicity, or any other legal or moral rights). Your User Submissions must not violate our policies. You may not represent or imply to others that your User Submissions are in any way provided, sponsored, or endorsed by us. Please consider the risks of revealing personal information (such as name, phone number, or street address) about yourself or others in Interactive Areas, including when connecting to the Sites through a third-party service. You, and not we, are responsible for any consequences of sharing personal information about yourself in public areas of the Service, such as your home address or the home address of others.

We own all rights, titles, and interests in any compilation, collective work, or other derivative work created by us using or incorporating your content (but not your original content). When you use a feature on the Services that allows users to share, transform, readapt, modify, or combine user content with other content, you grant us and our users an irrevocable, non-exclusive, royalty-free, perpetual, right and license in the universe to use, reproduce, modify, display, remix, perform, distribute, redistribute, adapt, promote, create derivative works, and syndicate your content in any medium and through any form of technology or distribution and to permit any derivative works to be licensed under these same license terms.

USER CONDUCT AND PROHIBITED CONTENT

Under the laws of the nation and the Application's personal rules, the users shall not host, display, upload, publish, transmit, store, update, or share any information or link that-

-  belongs to another person and to which the user does not have any right;

- is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, including bodily privacy, insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;

- Is harmful to children;

- infringes any patent, trademark, copyright, or other proprietary rights;

- violates any law for the time being in force;

- Impersonates other people;

- deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;

- threatens the unity, integrity, defense, security, or sovereignty of China, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting other nation

- contains a software virus or any other computer code, file, or program designed to interrupt, destroy or limit the functionality of any computer resource;

- is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity, or agency for financial gain or to cause injury to any person;

THIRD-PARTY SERVICES

We will never sell, trade, or perform any activity of similar nature with information that we collect from users which includes but is not limited to the user name, mobile phone number, email address, address of the business, business name, business URL, business profile, title of the contact person, location, IP address, device, configuration, and internet bandwidth.

However, we share the information with “VIP Sourcing Service” for offline sourcing services for the providing best services to the users of the application. Apart from the above-mentioned third party, we do not share the user's information with any other third party. If we start sharing your information with any other third party we will inform you beforehand.

Please note that we do not control such third-party websites and their interactions with you. We have not reviewed, and do not review, all the material, including goods or services, made available through third-party sites. We, therefore, urge you to kindly make an informed choice in interacting with such third-party sites and ensure that you are familiar with the policies of such sites before you proceed with engaging and interacting, with such third-party sites.

If we share any sensitive personal information (as defined under the applicable laws) we will ask you for your consent prior to sharing the same.

FEES

The Application is not responsible for any charges which include but are not limited to any hardware or software cost inquired, cost of internet connections inquired, network charges inquired or other charges inquired by the user to access our services.

If you register to the Application as a seller we will charge a membership fee and a fee on each inquiry that you want to have on the Application.

If you register to the Application as a buyer we will not charge you for using our Application. However, if you want to avail of inspection services from the platform then we will charge an inspection fee from you.

COLLECTION OF SENSITIVE PERSONAL INFORMATION

WE DO NOT COLLECT ANY SENSITIVE PERSONAL INFORMATION. If we start collecting any sensitive personal information we would follow all the required steps as per the applicable laws.

CROSS-BORDER DATA TRANSFER

WE DO NOT TRANSFER ANY DATA OUTSIDE THE BOUNDARIES OF THE REPUBLIC OF CHINA. If we start transferring data outside the boundaries of the Republic Of China we would follow all the required steps as per the applicable laws.

INDEMNIFICATION

You agree to fully indemnify, defend and hold harmless the Application, its affiliates, associates, and group companies, and their respective directors, key managerial personnel, employees, officers, shareholders, agents, representatives, sub-contractors, consultants, and third-party providers from and against all losses, claims, and damages including legal fees, resulting from (i) Your violation of any terms of the terms and conditions; (iii) Your violation of any third party right, including without limitation any publicity, privacy, or intellectual property right; (iv) Your breach of any applicable laws; (iv) any unauthorized, improper, illegal or wrongful use of Your account by any person, including a third party, whether or not authorized or permitted by You; and (v) Your breach of any representation, warranty, covenant or undertaking under the User Agreement or under applicable law. This indemnification obligation will survive the expiry or termination of these terms and conditions and Your use of the service.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China provided the Application is available and operated under a locally registered legal entity in China, without regard to the conflict of laws provisions thereof. All claims, differences, and disputes arising under or in connection with or in relation hereto the Application or Services, the Terms or any transactions entered into on or through the Application or Services shall be subject to the exclusive jurisdiction of the courts at Guangzhou Intermediate People’s Court, China and You hereby accede to and accept the jurisdiction of such courts.

DISPUTE RESOLUTION

Any and all disputes arising or related to these terms and conditions shall be first tried and solved between the parties involved in the dispute. If the parties cannot solve the dispute despite making all necessary efforts then the disputes shall be settled according to The International Arbitration Laws and Regulations by a sole arbitrator who shall be decided mutually by the parties. The arbitration proceeding shall take place in GUANGZHOU in English language only. The parties hereby declare that a decision made as a result of the arbitration proceeding shall be bounding for both parties.

If both parties are not satisfied with the arbitration result then the parties have the right to move to the high court of  GUANGZHOU.

LIMITATION AND LIABILITY

To the maximum extent permitted by applicable law, the Application Entities shall not be liable for any indirect, incidental, special, consequential, or punitive damages or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, good-will, or other intangible losses, resulting from (i) Your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties; (iii) any Content obtained from the Services; or (iv) unauthorized access, use or alteration of Your transmissions or Content.

The limitations of this subsection shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and whether or not the Application Entities have been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose

GENERAL TERMS

The right, title, and interest in and to the Services are and will remain the exclusive property of this Application and its licensors/owners. The Services are protected by copyright, trademark, and other laws of China. The Application reserves all rights not expressly granted in these terms of terms and conditions. You acknowledge and agree that any feedback, comments, or suggestions You may provide regarding this Application or the Services are entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to You.

Waiver and Severability

The failure of this Application to enforce any right or provision of these terms of terms and conditions will not be deemed a waiver of such right or provision. In the event that any provision of these terms of terms and conditions is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these terms of terms and conditions will remain in full force and effect.

ENTIRE AGREEMENT

Terms and Conditions and our Privacy Policy form the entire and exclusive agreement between the Application and You regarding the Services (excluding any services for which You have a separate agreement with the Application that is explicitly in addition or in place of the terms and conditions), and the terms and conditions supersede and replace any prior agreements between this Application and You regarding the Services.

Changes

Application may revise, supplement, update, and otherwise modify these terms and conditions from time to time without any further notification. Any updates, revisions, supplements, modifications, and additional rules, policies, terms, and conditions will be posted on the application and will be effective immediately after such posting. We recommend that you periodically check the application for the revised terms.

NON-COMPLIANCE BY USER

Non- compliance with the terms and conditions and privacy policies by the user would mean that the Application has the right to terminate access or usage rights of the users from its platform immediately or remove the non-compliant content or communication link by them.
